Flipkart approves second ESOP liquidity event for employees

Walmart-owned e-commerce major Flipkart has approved its second discretionary employee stock ownership plan (ESOP) liquidity event, allowing eligible employees to liquidate up to 5% of their vested stock options, according to an internal email from Group CEO Kalyan Krishnamurthy. The latest liquidity event follows the commitment made by the company last year, when it announced two ESOP liquidity windows. The second was contingent on meeting certain business goals. "As you may recall, last year we had shared that there would be two liquidity events, with the second being subject to us meeting certain goals. I am pleased to share that, after reviewing the progress we have made together, the Board has approved this second discretionary ESOP liquidity event," Krishnamurthy wrote in the email. Under the Flipkart Stock Option Plan 2026, all active employees as of July 15, 2026 will be eligible to liquidate up to 5% of their outstanding options vested during the preceding three years, between July 16, 2023 and July 15, 2026. The liquidity price has been fixed at Rs 713.4 per option, and payouts are scheduled for August 2026. According to sources, the second liquidity event is valued at around $25 million, taking the combined value of the two tranches to $50 million. Entrackr has reached out to Flipkart for more details. In July last year, Flipkart launched a$50 millionESOP liquidity programme that allowed eligible employees to liquidate up to 5% of their vested ESOPs at $174.32 per option. At the time, the company said another liquidity window would open in early 2026 if it achieved its performance goals. The latest announcement confirms that the company has met those milestones and received board approval for the second liquidity event. In the email, Krishnamurthy also highlighted Flipkart's transition to an India domiciled company. "As we begin this next chapter as an India-domiciled company, our ambition remains unchanged - to build one of the world’s most admired technology and commerce companies from India. The opportunity ahead of us is immense and I firmly believe our best work is still to come." Flipkart has conducted multiple ESOP buybacks over the years, including a record$700 million liquidity eventin 2023, one of the largest employee payouts by an Indian origin privately held company.
