Swiggy shareholders approve 49.5% foreign ownership cap

Swiggy shareholders have approved a proposal to cap the company’s aggregate foreign ownership at 49.5% at its 13th Annual General Meeting (AGM) held on August 18, 2026, clearing a key hurdle in its transition to an Indian-owned and controlled company (IOCC). The approval comes after Swiggy’sdomestic ownershipcrossed 50% in July, with foreign ownership at 49.76%. This includes foreign direct investment (FDI), foreign portfolio investment (FPI) and other indirect foreign investments. Swiggy had earlier sought shareholder approval for the IOCC transition in May, but the proposal failed to secure the required votes. The IOCC status is particularly important for Swiggy’s quick commerce arm Instamart. Once the company completes the transition, Instamart could move towards an inventory-led model, similar to Eternal’s Blinkit. Under the inventory model, Instamart could directly purchase and own products sold through its platform rather than operating purely as a marketplace connecting sellers and consumers. This could also allow Swiggy to recognise the full value of sales as revenue instead of earning only commissions from sellers. Eternal had adopted a similar structure for Blinkit after its foreign ownership fell below the 50% threshold. The shift helped Blinkit move towards an inventory-led model and changed the way the quick commerce business reported its revenue. In Q1 FY27, Swiggy reported 7% year-on-year increase in its operating revenue toRs 6,812 crorein Q1 FY27 from Rs 4,961 crore in Q1 FY25. The company also narrowed its losses by 34% to Rs 791 crore during the period. Swiggy earlier todayexpandedthe roles of three senior executives across its Instamart and Food Marketplace businesses. Himavant Kurnala was named Chief Growth and Product Officer at Instamart, Nitesh Garg as its CTO, while Saurav Goyal took charge as COO of the Food Marketplace. Swiggy’s shares closed at Rs 274 on Thursday, giving the company a market capitalization of Rs 75,633 crore ($7.96 billion). Bareback Media has recently raised funding from a group of investors.
